1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the Torch'D Studios website (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site. These Terms apply to all visitors and users of the Site.

2. About Our Services

Torch'D Studios provides custom web design, web development, and digital marketing services for local and small businesses. This Site is informational; it describes who we are and what we do, and it lets you get in touch.

Any specific project we undertake for you is governed by a separate written proposal, agreement, or statement of work (“Project Agreement”). Nothing on this Site constitutes a Project Agreement on its own. If anything in these Terms conflicts with a signed Project Agreement, the Project Agreement controls for that engagement.

3. Use of the Website

You may use the Site for lawful purposes only and in a manner consistent with these Terms. When using the Site, you agree not to:

• Violate any applicable law, regulation, or third-party right.
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems.
• Introduce viruses, malware, or any other harmful code, or otherwise interfere with the Site’s operation.
• Use the contact form to send spam, harassing, fraudulent, or unlawful content.
• Scrape, copy, or reproduce Site content for commercial purposes without our written permission.

4. Intellectual Property

The Site and its contents — including text, graphics, logos, the Torch'D Studios name and brand, and the design and layout of the Site — are owned by Torch'D Studios or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written consent.

For client projects, ownership of the final, paid-for deliverables transfers to the client upon full payment, as set out in the applicable Project Agreement. Unless we agree otherwise in writing, Torch'D Studios retains the right to display the completed work in its portfolio and promotional materials.

5. Quotes, Proposals & Engagements

Any quotes or estimates we provide are informational and are not binding until set out in a written Project Agreement signed by both parties. Pricing and timelines are based on the scope described at the time of the estimate. If the scope of work changes — including additions, revisions beyond the agreed allowance, or new requirements — the fees and schedule may be adjusted accordingly, and we will communicate any such changes before proceeding.

6. Fees & Payment

Fees, deposits, invoicing, and payment schedules for a given engagement are set out in the applicable Project Agreement. 7. Termination

Either party may end an active engagement in accordance with the terms of the applicable Project Agreement. If an engagement is terminated, the client remains responsible for payment for all work performed and expenses incurred through the effective date of termination. We may also suspend or terminate your access to the Site if you violate these Terms.

8. Third-Party Links & Services

The Site may contain links to third-party websites or reference third-party services. We provide these for convenience only and do not control or endorse them. We are not responsible for the content, policies, or practices of any third-party site or service, and your use of them is at your own risk.

9. Disclaimers

The Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. While we work hard to deliver quality results, we do not guarantee any specific outcome from our services — including, for example, search engine rankings, traffic levels, conversions, or other marketing results, which depend on many factors outside our control.

10. Limitation of Liability

To the fullest extent permitted by law, Torch'D Studios will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or our services. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to an engagement will not exceed the amount of fees you actually paid to us for the work giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Torch'D Studios and its owners from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your violation of these Terms, or your infringement of any third-party right, including in connection with content or materials you provide to us for a project.

12. Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.
